Terms of Service

Welcome to Vystle. These Terms of Service ("Terms") govern your use of the Vystle platform ("Vystle," "we," "us," or "the platform"). By creating an account, posting a gig, submitting an edit, or otherwise using the platform, you agree to these Terms. If you do not agree, do not use the platform.


1. Eligibility

You must be 18 years of age or older to use Vystle. By using the platform, you represent and warrant that you are at least 18 and legally able to enter into these Terms.


2. How Vystle Works

Vystle is a marketplace where:

  • Buyers post a gig that includes a sample video clip, a guaranteed payment amount, and details about the opportunity (including whether it is a one-time project or an ongoing editor position).
  • Editors submit their edited version of the sample clip as an entry into the gig.
  • The buyer reviews the submissions, provides a rating and feedback for each, and selects a winner.
  • The winning editor receives the guaranteed payment and may be offered ongoing or additional work at the buyer's discretion.

The platform facilitates payment, holds funds in escrow, and provides the tools for buyers and editors to interact. Vystle is not a party to the working relationship between buyers and editors.


3. Payments, Escrow, and Platform Fee

3.1 Payment at Posting

When a buyer posts a gig, the buyer pays the full guaranteed payment amount into escrow, plus a platform fee of 20% of the guaranteed amount, charged in addition to (on top of) the guaranteed amount. Both are charged at the time of posting.

3.2 The Guaranteed Amount

The full guaranteed amount is held in escrow and paid to the winning editor. The winning editor receives the entire guaranteed amount; the platform fee is separate and is not deducted from the editor's payment.

3.3 Platform Fee Is Non-Refundable

The 20% platform fee is non-refundable once a gig is posted, regardless of the outcome of the gig.

3.4 Release of Escrow

The escrowed guaranteed amount is released to the winning editor when the buyer selects a winner.

3.5 If the Buyer Does Not Select a Winner

If a buyer does not select a winner before the end of the judging window:

  • If the buyer has rated the submissions: the full escrowed amount is automatically awarded to the highest-rated submission.
  • If the buyer has not rated any submissions: the escrowed amount is divided among all editors who submitted an entry to that gig.

In either case, the escrowed guaranteed amount is not refunded to a buyer who fails to select a winner. This protects editors who have completed work in good faith.

3.6 Payment Processing

Payments and payouts are processed through our third-party payment provider (Stripe). By using the platform, you also agree to the terms of our payment provider. Editors must complete payment-provider onboarding to receive payouts. Vystle does not store your full payment credentials.


4. Intellectual Property and Ownership of Edits

This section is important. By posting a gig, you acknowledge and agree to the following.

4.1 Buyer's Source Footage

The raw/source footage a buyer uploads remains the property of the buyer.

4.2 Editors Own Their Edits

Every edited version submitted by an editor — whether or not it wins — is owned by the editor who created it. Editors may use, display, share, and include their edited work in their portfolios or anywhere else they choose, including publicly.

4.3 Buyer Consent

By posting a gig, the buyer expressly consents to having their footage edited and to those edited versions being owned and publicly used by the editors who created them. This applies to all submissions, including those that do not win. Buyers should not post footage they are unwilling to have edited and displayed by editors.

4.4 Winning Edits

The winning edit is treated the same as any other edit: the editor owns it. The buyer receives the winning edit file as part of the gig but does not obtain exclusive ownership of it.

4.5 Buyer Responsibility for Uploaded Content

Buyers represent that they have the rights to any footage they upload and that the footage does not infringe any third party's rights or violate any law.


5. No Guarantee of Hiring or Outcomes

Vystle guarantees only the payment and escrow mechanics described in Section 3. We do not guarantee:

  • That a buyer will hire an editor for ongoing or future work;
  • That any particular editor will win a gig;
  • That winning a gig will lead to additional work;
  • Any specific business outcome for buyers or editors.

A gig labeled as an "editor position" reflects the buyer's stated intent, not a binding guarantee of continued employment or engagement.


6. Feedback and Testimonials

As part of the gig process, buyers provide ratings and feedback on submissions, and may provide testimonials for top-performing editors. Feedback and testimonials must be genuine and made in good faith. Fake, copy-pasted, bad-faith, or misleading feedback and testimonials are prohibited (see Section 7).


7. Prohibited Conduct

The following are prohibited and may result in warnings, suspension, or permanent removal from the platform:

  • Posting fake gigs — gigs posted with no genuine intent to pay or hire.
  • Spec-work farming — collecting edited submissions with no intent to award anyone.
  • Submitting work you did not create — passing off stolen or others' work as your own.
  • Fake or bad-faith feedback or testimonials — including copy-pasted, misleading, or retaliatory reviews.
  • Harassment or abuse of other users.
  • Off-platform circumvention — attempting to arrange payment or work outside the platform to avoid the platform fee.
  • Uploading illegal or infringing footage — content you do not have the rights to, or that violates any law.

8. Reports and Disputes

Users may report gigs, submissions, feedback, or other users for violations of these Terms. Vystle reviews reports and resolves disputes at its sole discretion. Decisions made by Vystle regarding reports and disputes are final.


9. Account Suspension and Termination

We may suspend or permanently terminate any account that violates these Terms, engages in prohibited conduct, or otherwise misuses the platform. We may do so with or without prior notice depending on the severity of the violation.


10. Service Provided "As Is"

The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Vystle is not liable for:

  • Service interruptions, downtime, or outages;
  • Lost, corrupted, or failed file uploads or downloads;
  • Errors in transmission or playback of video;
  • Any indirect, incidental, or consequential damages arising from your use of the platform.

Your use of the platform is at your own risk.


11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will provide notice (for example, by posting the updated Terms on the platform with a new "Last updated" date). Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.


12. Governing Law

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-law principles.
